Terms of Service

1. Definitions

• "Platform" refers to the EdgeCipher website, web application, mobile application, APIs, and all related services, tools, and content provided by EdgeCipher.
• "Company", "we", "us", "our" refers to EdgeCipher and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and representatives.
• "User", "you", "your" refers to any individual who accesses, browses, or uses the Platform in any capacity.
• "Services" refers to all features, functionalities, tools, data, content, and resources available through the Platform, including but not limited to trade journaling, analytics, AI coaching, community features, and educational content.
• "User Content" refers to any data, text, images, videos, comments, posts, trade records, journal entries, or other materials you submit, upload, or create on the Platform.

2. Acceptance of Terms

By accessing or using the EdgeCipher Platform, you enter into a legally binding agreement with EdgeCipher and agree to comply with and be bound by these Terms of Service ("Terms"), our Privacy Policy, and any other policies, guidelines, or rules referenced herein or published on the Platform. These Terms apply to all users, whether registered or unregistered, and govern your entire relationship with EdgeCipher.

EdgeCipher reserves the absolute right to modify, amend, supplement, or replace these Terms at any time, at its sole discretion, with or without prior notice. It is your sole responsibility to review these Terms periodically. Your continued use of the Platform following any modifications constitutes your irrevocable acceptance of the revised Terms. If you do not agree with any modification, your only remedy is to discontinue use of the Platform immediately.

3. Eligibility Requirements

You must be at least 18 years of age to register for an account or use the Services. By creating an account, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into binding contracts under applicable law.
• All information you provide during registration and at any time thereafter is accurate, truthful, current, and complete.
• You will promptly update your information if it changes.
• You are not barred from using the Services under any applicable law or regulation.
• You are accessing the Platform for personal, non-commercial use unless otherwise authorized in writing by EdgeCipher.

EdgeCipher reserves the right to verify your identity and eligibility at any time and to suspend, restrict, or permanently terminate accounts that fail to meet these requirements without any obligation to refund fees or provide compensation.

4. Account Registration & Security

When you create an account, you are solely and entirely responsible for:

• Maintaining the confidentiality and security of your login credentials (username, password, and any associated authentication factors).
• All activities, transactions, and actions that occur under your account, regardless of whether you authorized them.
• Immediately notifying EdgeCipher at support@edgecipher.in of any suspected unauthorized access, security breach, or compromise of your account.

EdgeCipher shall not be liable for any direct, indirect, or consequential loss or damage arising from your failure to maintain the security of your account credentials. You expressly agree that EdgeCipher is not responsible for any unauthorized transactions or activities performed through your account.

EdgeCipher reserves the unilateral right to suspend, disable, lock, or permanently delete any account at its sole and absolute discretion, at any time, for any reason or for no reason, with or without prior notice, including but not limited to suspected violation of these Terms, fraudulent activity, abusive behavior, or inactivity.

5. Nature of Services & Educational Purpose

EdgeCipher is a trading discipline, journaling, analytics, and educational platform. The Platform provides tools and features including but not limited to:

• Trade journal and execution log tracking
• Performance analytics and P&L calculations
• AI-powered coaching and behavioral analysis (Arjun Coach)
• Community discussions and curated educational content
• Risk management and strategy planning modules
• Market-related data visualization (Crypto VIX, news feeds)

ALL CONTENT, ANALYSIS, INSIGHTS, COACHING SUGGESTIONS, ALERTS, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE STRICTLY FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. NOTHING ON THE PLATFORM CONSTITUTES OR SHALL BE CONSTRUED AS:

• Investment advice, financial advice, or trading recommendations
• A solicitation or offer to buy, sell, or hold any securities, derivatives, or financial instruments
• A guarantee or prediction of future performance or returns
• Professional financial planning, tax advice, or legal counsel

6. No Financial Advice — Complete Disclaimer

You expressly acknowledge, understand, and irrevocably agree that:

• EdgeCipher is NOT a registered investment advisor, broker-dealer, financial planner, portfolio manager, or licensed financial professional under SEBI, RBI, SEC, or any other regulatory authority in any jurisdiction.
• No information, data, analysis, AI output, coaching suggestion, or content presented on the Platform constitutes a recommendation, endorsement, or solicitation to buy, sell, or hold any investment or financial product.
• All trading and investment decisions you make are entirely your own, made at your sole risk and responsibility.
• Past performance data, analytics, backtesting results, or any historical information displayed on the Platform does not guarantee, predict, or indicate future results.
• Trading and investing in financial markets, including equities, derivatives, commodities, and cryptocurrencies, involves substantial risk of financial loss, including the potential loss of your entire capital. You may lose more than your initial investment.
• EdgeCipher shall bear absolutely no responsibility, liability, or obligation for any trading losses, missed trading opportunities, incorrect decisions, financial damages, emotional distress, or any other loss of any kind that you may incur as a result of using or relying upon the Platform or its content.

7. User Conduct & Prohibited Activities

By using the Platform, you agree to abide by all applicable laws and regulations. You shall NOT:

• Use the Platform for any unlawful, fraudulent, or malicious purpose.
• Attempt to gain unauthorized access to any part of the Platform, other user accounts, servers, networks, or databases.
• Upload, post, transmit, or share any content that is defamatory, obscene, abusive, threatening, harassing, discriminatory, hateful, or otherwise objectionable.
• Impersonate any person, entity, or EdgeCipher representative.
• Use automated tools, scripts, bots, scrapers, crawlers, or any other automated means to access, collect data from, or interact with the Platform without written authorization.
• Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure, servers, or networks.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or algorithms of any part of the Platform.
• Copy, reproduce, distribute, modify, or create derivative works from any Platform content without express written consent.
• Share, sell, lease, or transfer your account credentials to any third party.
• Use the Platform to promote, advertise, or market competing products, services, or platforms.
• Manipulate, falsify, or misrepresent any data, trading records, or information on the Platform.
• Circumvent, disable, or interfere with any security, access control, or technical protection measures of the Platform.
• Engage in market manipulation, insider trading, or any activity that violates securities regulations while using the Platform.
• Use any information obtained from the Platform to develop competing products or services.

Violation of any of the above may result in immediate account termination, forfeiture of all data and paid subscriptions, and potential legal action at the sole discretion of EdgeCipher.

8. Community Guidelines & User Posts

The Platform may offer community features including posts, comments, discussions, and social interactions. If you participate in community features, you agree that:

• All content you post must be your own original work or properly attributed and licensed content.
• You shall not post spam, unsolicited advertisements, promotional material, or affiliate links without express authorization from EdgeCipher.
• You shall not harass, bully, stalk, intimidate, or threaten any other user.
• You shall not post misleading trading advice, fabricated performance claims, or false information.
• EdgeCipher reserves the sole and absolute right to review, moderate, edit, remove, or refuse to publish any content at any time, for any reason, without prior notice or explanation.
• EdgeCipher may suspend, restrict, or permanently ban any user from community features at its sole discretion.
• User-posted content does not represent, endorse, or reflect the views, opinions, or recommendations of EdgeCipher.
• EdgeCipher is not responsible for verifying the accuracy, legality, or quality of any user-generated community content.
• Community Leaders appointed by EdgeCipher serve at EdgeCipher's discretion, and their posts represent their personal views unless explicitly stated otherwise.

9. Intellectual Property Rights

All content, features, functionality, software, code, algorithms, designs, text, graphics, logos, trademarks, service marks, trade names, icons, images, audio, video, data compilations, APIs, and the overall look, feel, and user experience of the Platform (collectively, "Platform Content") are the exclusive property of EdgeCipher or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.

You are granted a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial, educational purposes, subject to these Terms. This license does not grant you any ownership rights in the Platform or its content.

You may NOT, without the express prior written consent of EdgeCipher:

• Copy, reproduce, republish, upload, post, display, transmit, or distribute any Platform Content.
• Modify, translate, adapt, merge, or create derivative works from the Platform or its content.
• Sell, sublicense, lease, rent, loan, or commercially exploit the Platform or any part thereof.
• Use EdgeCipher trademarks, logos, or branding in any manner without written authorization.
• Frame, mirror, or use meta tags or hidden text incorporating EdgeCipher's intellectual property.

10. License to User-Generated Content

By submitting, posting, uploading, or otherwise making available any User Content on the Platform, you irrevocably grant EdgeCipher a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, fully sublicensable, and transferable license to:

• Use, reproduce, modify, adapt, translate, publish, distribute, perform, display, and create derivative works from your User Content.
• Incorporate your User Content into any media, format, channel, or technology now known or later developed.
• Use your User Content for any commercial or non-commercial purpose, including marketing, advertising, product development, and analytics.
• Sublicense these rights to third parties, affiliates, partners, and service providers.

You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to grant this license, and that your User Content does not infringe any third-party rights. You waive any moral rights in your User Content to the fullest extent permitted by law.

EdgeCipher has no obligation to monitor, review, store, or maintain any User Content but reserves the right to do so and to remove or modify any User Content at any time for any reason.

11. Data Accuracy & User Responsibility

You are solely and entirely responsible for the accuracy, completeness, legality, and reliability of all data you input into the Platform, including but not limited to:

• Trade records, execution logs, and transaction details
• Journal entries, notes, and reflections
• Personal information, profile details, and account settings
• Strategy configurations and risk parameters

EdgeCipher does not independently verify, validate, or audit the accuracy of any user-submitted data. EdgeCipher shall not be held liable for any inaccuracies, errors, omissions, or inconsistencies in such data, nor for any decisions, actions, or losses resulting from reliance on such data. Analytics, P&L calculations, and performance metrics generated by the Platform are only as accurate as the data you provide.

12. AI Coaching & Automated Features Disclaimer

The Platform includes AI-powered features such as the Arjun Coach module, automated analysis, behavioral insights, and scenario-based coaching. You acknowledge and agree that:

• AI-generated content, suggestions, feedback, and coaching are produced by automated systems and may contain errors, inaccuracies, or limitations.
• AI coaching is not a substitute for professional financial advice, mental health counseling, or any licensed professional service.
• EdgeCipher makes no warranties regarding the accuracy, reliability, completeness, or suitability of any AI-generated output.
• Any action you take based on AI coaching or automated analysis is entirely at your own risk.
• EdgeCipher is not liable for any losses, damages, or consequences arising from your reliance on AI-generated content.

13. Service Availability, Modifications & Discontinuation

EdgeCipher reserves the absolute right to, at any time and at its sole discretion, without prior notice or liability:

• Modify, update, enhance, or alter any feature, functionality, or content of the Platform.
• Temporarily or permanently suspend, restrict, or discontinue all or any part of the Services.
• Change the technical requirements, supported devices, or system specifications of the Platform.
• Perform scheduled or unscheduled maintenance that may result in service interruptions.

EdgeCipher does not guarantee uninterrupted, continuous, secure, timely, or error-free access to the Platform. The Platform is provided on an "as available" basis. Downtime, bugs, data loss, security vulnerabilities, or service interruptions may occur at any time, and EdgeCipher shall not be held liable for any resulting damages, losses, or inconveniences.

14. Fees, Payments & Refund Policy

Certain features, tools, or premium tiers of the Platform may require payment of subscription fees or one-time charges. By subscribing to or purchasing any paid feature:

• You agree to pay all applicable fees as described at the time of purchase.
• All fees are non-refundable unless expressly stated otherwise in writing by EdgeCipher.
• EdgeCipher reserves the right to modify pricing, introduce new fees, or change billing cycles at any time with or without prior notice.
• Failure to pay applicable fees may result in immediate suspension, downgrade, or termination of access to paid features without refund.
• You are solely responsible for all applicable taxes, duties, and charges related to your use of the Services.
• EdgeCipher may use third-party payment processors and is not liable for payment processing errors or delays.

You agree to fully indemnify, defend, and hold harmless all EdgeCipher Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees, legal costs, and investigation costs) arising out of or in connection with:

• Your use of or access to the Platform and Services.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any rights of any third party, including intellectual property rights and privacy rights.
• Any User Content you submit, post, or make available through the Platform.
• Any trading, investment, or financial decisions you make based on or influenced by the Platform.
• Any data you input into the Platform that is inaccurate, misleading, or unlawful.
• Any claim by a third party related to your account or activities on the Platform.

This indemnification obligation shall survive the termination of your account and these Terms.

17. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EDGECIPHER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR DATA.
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORM.

You use the Platform entirely at your own risk. No advice or information, whether oral or written, obtained from EdgeCipher or through the Platform shall create any warranty not expressly stated in these Terms.

18. Account Termination

EdgeCipher may terminate, suspend, or restrict your account and access to the Services immediately, without prior notice or liability, at its sole and absolute discretion, for any reason whatsoever, including but not limited to:

• Breach or suspected breach of these Terms.
• Fraudulent, abusive, or suspicious activity.
• Request by law enforcement or government authorities.
• Extended periods of account inactivity.
• Discontinuation or material modification of the Services.
• Any reason EdgeCipher deems necessary to protect the Platform, its users, or its interests.

Upon termination:

• Your right to access and use the Services shall cease immediately.
• EdgeCipher may permanently delete your account and all associated data, including User Content, trade records, journal entries, and analytics data, without any obligation to retain, export, or provide copies of such data.
• No refund of any kind shall be provided for unused subscription periods, prepaid fees, or credits.
• Sections of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and dispute resolution) shall survive.

19. Dispute Resolution & Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of India, without regard to any conflict of law principles.

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English, in a city designated by EdgeCipher, before a single arbitrator appointed by EdgeCipher.

Class Action Waiver: You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration against EdgeCipher.

To the extent that arbitration is not applicable, you agree to submit to the exclusive jurisdiction of the competent courts located in India for the resolution of any dispute.

20. Third-Party Services & Links

The Platform may contain links to or integrations with third-party websites, services, APIs, or content that are not owned, operated, or controlled by EdgeCipher. EdgeCipher does not endorse, guarantee, or assume responsibility for any third-party services, and your use of such services is entirely at your own risk. Your interactions with third parties are governed solely by their respective terms and policies. EdgeCipher shall not be liable for any damages or losses arising from your use of third-party services accessed through the Platform.

21. Force Majeure

EdgeCipher shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond EdgeCipher's reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, acts of government or regulatory authorities, war, terrorism, civil unrest, strikes, labor disputes, power failures, internet or telecommunications outages, cyber attacks, third-party service failures, or any other force majeure event.

22. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall be limited or eliminated to the minimum extent necessary. All remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.

23. Waiver

The failure of EdgeCipher to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of EdgeCipher.

24. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without the prior written consent of EdgeCipher. EdgeCipher may freely assign, transfer, or delegate its rights and obligations under these Terms without notice or consent, including in connection with any merger, acquisition, reorganization, or sale of assets.

25. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices, policies, guidelines, or supplemental terms published by EdgeCipher on the Platform, constitute the entire agreement between you and EdgeCipher regarding your access to and use of the Platform and Services. These Terms supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and EdgeCipher.
